Welcome to GoodHope Insure!

GoodHope Insure Ltd (“We”, “Us”, “Our” also be referred to as “GoodHope Insure”) has a website in the name of goodhope.com.bd (the “Site”), and a mobile app (the “App”). Together the website and the mobile app have built up an online InsurTech Platform (“Platform”) where the users can browse, compare, apply for, and buy the insurance products of the insurers.

Any access to, or use of the service or any communication technology set-up, or any part thereof related to the service are administered by these Terms of service (“Terms”).

You are invited to read these Terms before using our Service.

The Service

• Our service is making a bridge between you and the licensed insurance companies who provide numerous financial products and services. You shall get the access to avail these financial services of the “provider” digitally by availing the facilities of our digital platform. The “provider” refers to the independent entity or insurance company, not “GoodHope Insure Ltd”. We, at GoodHope Insure Ltd., confirm you that we aren't responsible for any services or products from the Providers. These may include is refers to the products, services, features, discounts, bonuses or other benefits provided by the Providers.

• Some services including delivery of specific financial documents, instruments and/or certificates shall be delivered, without making any alteration, to your address by the 3rd Party Logistics (the “3PL Provider” or collectively, as “3PL Providers”) working in the respective area. GoodHope shall replace/refund the physically damaged/lost document(s), instrument(s), and or certificate(s), subject to consideration of the incident and/or situation where GoodHope reserves the right to reject any replacement/refund claim if the incident is not directly happened by GoodHope or it’s affiliates (i.e.; natural disasters, war, riot, political unrest etc.). • In addition to our regular services we may offer some others products, services, features and benefits in relation to our current products and services (as “Additional Services”). There should be some other products offered by the third party. For your clarification, we do not accept or assume any liability or responsibility at any time in relation to any of the services, products, features, discounts or benefits provided by the third parties, other than those related to our services, products, features, discounts or benefits.

• We may change our services or terms of services time to time, that will be notified to you by SMS, Email or other means of communication, or by posting on our Platform.

• By subscribing our services, you understand and allow GoodHope Insure to get different offers and benefits from us, including our other business partners, time to time by SMS, email, written letter, or by posting on our platform.

Your Acknowledgment

• Your accessing to our Service means that you agree to be bound by the Terms and Conditions of using our Service as stipulated below. These Terms and Conditions, along with our ‘Privacy Statement’ and ‘Refund Policy’, constitute the agreement between you and GoodHope Insure on using our Service. If you are entering into this agreement on behalf of a company or any other legal entity, you declare that you have the authority to bind such entity and its affiliates to this agreement. If you do not agree to these Terms and Conditions, you should not use the Service.

• If needed, we may change these Terms and Conditions, then we will post the revised Terms and Conditions by SMS, email or by notice on the InsurTech Platform or by any other mode of written communication. You are responsible for remaining aware of any changes made to these Terms and Conditions. By continuing to use our Service after we post such changes, you agree to the modified Terms and Conditions.

Conditions of Use

• Your Account

  You are required to sign up with GoodHope.Com.BD, if you are interested to use our Service. You will be able to sign up on our website, or mobile app, or by calling us. Our contact information is available always on our website.

  While registering you should provide some necessary information, like, your name, address, date of birth, cell phone number, e-mail address, and setting the password. Other information, like, mobile financial service-related information, debit/credit card information, and any other relevant information may also be required from time to time.

  If the Service is offered to you by your employer or by any party other than you (“Corporate Purchaser’) as a gift or benefit, we may contact you for signing up for the Service. Our mode of contact you may be by calling or sending SMS or sending e-mail to the cell number/e-mail address, provided to us by the Corporate Purchaser, requesting you for necessary information for your registration. You should subscribe to our Service in order to avail any benefit is offered to you by our Corporate Purchaser.

  All information, along with the password, of your account will be confidential and personal to you and only you can share this information with someone if it is absolutely necessary or if required under law. Only you shall remain responsible for any action performed by the person whom you provided your “Account Information”.

  As you are responsible for maintaining the confidentiality of your Account Information, you shall be liable for all activities occurred thereunder. If you notice any unauthorized use of your Account Information, you agree, you shall notify us immediately upon becoming aware of that. GoodHope reserves the right to take any action, as it seems necessary, for the security purpose of our Service and of your Account, including rejection or cancellation your registration with us. GoodHope shall not be responsible for the losses or damages resulting from or arising out of your or your authorised person’s use of our Service, or of your release of the Account Information to a third party, whether such release is intended or not, save where such liability cannot be excluded by GoodHope under applicable law.

• Access Rights

  The agreement between you and GoodHope Insure as created hereby, and the Service, shall commence on the date you accept our Terms, and these shall remain effective till your authorized use of the Service continues. Subject to your compliance with these Terms, we shall hereby grant you a limited and non-transferable right to access our Service. This service is solely for your personal and non-commercial use. By accessing the Platform or any of our services, you confirm that you are at least 18 years of age or accessing under supervision of your parent or legal guardian. You are granted for a non-transferable, revocable and non-exclusive license to use the Platform for the purposes of acquiring financial product and services as listed on the Platform. Without our prior approval commercial use of this platform or use on behalf of any third party is prohibited.

  Only if you and the business entity will comply with all applicable laws relating to online trading, your registering as a business entity is accepted. Any person or business entity may get registered as a member of the Platform only one time. Any breach of these Terms and Conditions shall result in the immediate cancellation of your access permission without noticing you. By signing in you agree that all information you would provide in connection to obtaining the Service are true, accurate, up-to-date and complete. If any suspicion arises reasonably that your information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate the Service immediately. All your information provided to us shall be used according to our terms of our Privacy Statement.

  Contents which are presenting on this Platform is only for informational purposes. Financial product and service presentations including prices, coverage, features, eligibility, exclusions, add-ons and any other details as expressed on the Platform are the sole responsibility of the respective independent providers of the products and services, and are not guaranteed as completely accurate by us. Expression of opinions on the Platform are those of the individual(s) posting such opinions and may not reflect our opinions.

  You agree that you will not, at any time, attempt to: (a) interfere with or disrupt functioning of the Service in any manner, including the functioning of any software, hardware, network or server connected to the Service, and the autonomy of any Provider or 3PL Provider; (b) distribute or transfer our Service fully or partially to any third party; (c) copy or modify the Service fully or partially for any purpose whatsoever; (d) reverse-engineer or create derivative content based on any part of our Service for any purpose, commercial or otherwise; or (e) or using the Service in a manner which is inconsistent with these Terms or the spirit of these Terms.

  We reserve the right, at our sole discretion, to deny and/or cancel your use of the Service permitted to anyone for any reason whatsoever at any time, and without providing any prior notice. You agree and undertake not to perform restricted activities listed on this platform; performing these activities shall result in immediate cancellation of your account, services, reviews or orders, or in worst situation, this may also result in legal action like the below:

  • Refusal to comply with the terms and conditions described herein, or any guidelines and policies related to the use of the Platform available all times.
  • Impersonate any person or entity or to falsely state or misrepresent your affiliation to any person or entity.
  • Using the Platform for illegal interests.
  • Attempt to gain unauthorized access to or otherwise interfere or disrupt other computer systems or networks connected to the Platform or Services.
  • Interfere in other person’s using and enjoyment of the Platform.
  • Post, promote or transmit any prohibited materials as deemed illegal by The People's Republic of Bangladesh on this Platform.
  • Use or upload, in any way, any software or material that contains, or which you have reason to suspect that it may contain viruses, damaging components, malicious code, or harmful components which may impair or corrupt the Platform’s data, or damage or interfere with the operation of another user’s computer or mobile device, or the Platform and use the Platform other than in conformance with the acceptable use of policies of any connected computer networks, any applicable Internet standards and any other applicable laws.

• Acceptable Usage Requirements

  Pre-requisition of using our Services is that you must comply with the requirements specified by GoodHope Insure. Over here you agree that you will not, at any time -

  • use our Services in any unlawful method;
  • use our Services in harmful, hateful, harassing, abusive or offensive method to any other person or entity (including your Provider, 3PLs or stakeholders);
  • interfere with or inhibit other users from using or enjoying our Services;
  • use the Service as the medium of distributing unsolicited or unauthorized communications, advertisements or spams;
  • assemble or board any data or Service content that violates any third-party right;
  • create a fake identity, impersonate another person or entity or misrepresent yourself otherwise;
  • breach or circumvent any security measure incorporated into the Service;
  • use, misuse, avail, exploit or take benefit from the Service (or any part or feature thereof) by any unfair, unauthorized, dishonest, fraudulent or deceptive acts, conduct or behavior; or
  • use the Service in any manner which is considered unacceptable by GoodHope.

• Platform for Communication and Transaction

  You understand, acknowledge and agree that the Platform is a digital communication media which enables you availing different financial products and services listed at the prices indicated therein anytime from anywhere using a payment mode of your choice. You further acknowledge and agree that we are only a facilitator and cannot be a party to or control in any manner of the transactions made on the Platform or on a payment gateway as made available to you by an independent third-party service provider.

  Accordingly, the contract after buying the financial products and services on the Platform shall be a strictly bipartite agreement between you and the provider of financial products and services (i.e.; insurance companies and their affiliated agents, contractors etc.). on our Platform. Similarly, the contract of payment on the Platform shall be strictly a bipartite contract between you and the payment processing service provider as listed on our Platform or/and your bank.

• Privacy Policy

  Our Privacy Policy governs your visit or use of the Platform. Your personal information provided to us for use of the Platform shall be treated as strictly confidential, and in accordance with the Privacy Agreement and applicable laws and regulations. If you cannot accept the way of using your information by the Platform, though it is in the manner specified in the Privacy Agreement, you are advised not to use the Platform or our Service.

• Continued Availability of Service

  Our utmost endeavour shall be there to ensure the continuous, uninterrupted and error-free access to the Platform and our services. However, due to interruption of other party’s services, like, the internet and other relevant services, we cannot guarantee it. Additionally, your access to the Platform and our services may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or function at any time without prior notice. We shall try our best to minimize the “limitations of frequency and duration of any such suspensions or restrictions”.

• Your Submissions

  Your submitted documents or information to the Platform, including but not limited to digital images, photographs, contact details, personal details, questions, reviews, comments, and suggestions (collectively, ‘Submissions’) shall become our exclusive property and shall not be returned to you. Additionally, any Submission like, your comments or reviews to the Platform, you also grant us the right to use the name you submit, in connection with such review, comment, or other content. You should not use any wrong e-mail address, as this may mislead us or third parties figuring out the origin of the Submission. We reserve the right, but not being obligated, to remove or edit any Submissions without any notice or legal course applicable to us in this regard.

Obligation of GoodHope Insure Ltd.

GoodHope Insure will strive to help you with the technical requirements for using the Service. We will also help with any logistics needed to operate the Service. We’ll operate the Service professionally.

Communication with GoodHope Insure

You agree to provide a valid phone number while placing an order with us via email, accessing website or mobile App. We shall communicate with you via e-mail, SMS, phone call, posting notices on the Platform or by any other mode of communication of our choice. For contractual purposes, you give consent of receiving messages (including transactional, promotional and/or commercial messages) from us in respect of your using the Platform (and/or placement of any order) treating those with same importance.

Relationship with Provider(s) and Third Parties

Your using our Service means to us that you give your consent and accept that the ‘Providers’ or the financial institutions, and their affiliated agents and contractors who sell their financial products and/or services on our Platform are treated as our business partners (“Business Partners”). Our Business Partners may also get their Additional Service providers and Third-Party Features providers. You also agree and accept that we may have separate business agreements with our Business Partners in terms of your using our Service. We may be entitled to get financial benefits from our Business Partners when you acquire insurance policies from them through us or take any Additional Services or Third-Party Features from time to time.

Price and Payment Terms

You agree to pay certain premium for purchasing insurance policy and/or fees for your access to use other Service at the current rates set forth on the Platform as guided by GoodHope Insure and/or it’s associated parties. Alternatively, if the Service is offered to you by the Corporate Purchaser, as a gift or benefit, such purchaser shall be responsible for making the respective payment for your registration to use the Service. You agree and accept that your registration or access to using of the Service may be terminated at any time without prior notice and any liability to you if the Corporate Purchaser has not paid the fees of the service to us in full on time. Fees/ Premiums for our products and services are VAT included where applicable. Fees are subject to change at any time with prior notification to the respective stakeholders. All fees and premiums paid are Refundable subject to adjustment of applicable services charges.

Disclaimer

Our Service is provided on “as is” and “as available” basis. Access to or use of our Service is voluntary and at your own discretion and risk. We do not ensure any express or implied warranties, representations and/or endorsements of any kind, respective to any information, financial product, service, or other material provided on or through our Service, you receive from your Providers. Whilst we endeavour to be engaged with reputed Providers, we do not warranty or guarantee the accuracy, completeness, reliability, timeliness or usefulness of Service of those Providers. We do not warranty that the Service will function or will be available without delays, disruptions, interferences, imperfections, or any adverse incident. To the fullest extent permissible under applicable law, we disclaim any and all liability and responsibility related to any and all Third-Party Features offered or provided to you or make available to you through the Service anyway.

Limitation of Liability

In no event GoodHope Insure, its parents, subsidiaries, affiliates, licensors, and/or suppliers, and/or the officers, directors, employees, consultants, agents and/or any other service provider, by whom GoodHope delivers the Service, will be liable to you or any third party for any direct, indirect, punitive, exemplary, incidental, special or consequential damages, whether in contract or not, tort (including negligence) or otherwise, or the use of or the inability to use our Service, including, without limitation, any information made available through our Service or any services performed by any Providers you connect with via our Service (including grievance against Providers or our Business Partners), even if we have been advised of the possibility of such damages. If you are dissatisfied with any of our products, listings, contents, services or with any of the terms of these Terms and Conditions, the best resolution for you should be discontinuing of using the Service.

Losses

GoodHope Insure shall not be responsible for any business or personal losses (including but not limited to the loss of profits, revenue, contracts, anticipated savings, data, goodwill, wastage, expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both you and us at the time of your commencement of using the Platform.

Indemnification

You agree to indemnify and hold harmless GoodHope Insure Ltd., it’s parent companies, subsidiaries, affiliates, licensors, service providers, directors, employees, consultants, agents, and/or any other service providers, with whom GoodHope Insure provides the Services of claims, liabilities, damages, losses, costs, expenses and fees arising from your use of our Service, your violation of these Terms, or your violation of any rights of any other person or entity or for any harm or loss suffered due to negligence or improper advice provided by the Provider. We reserve the right to review any claim for which we are entitled to indemnification, and you agree to cooperate us as is reasonably requested by us.

Force majeure

GoodHope Insure shall not be liable for any failure of or delay in the performance of the Service for the period that such failure or delay is due to causes beyond its reasonable control, including but not limited to power supply, failures of electronic communications, acts of God, war, flood, cyclone, pandemics, or any natural calamities, political unrest, riots, strikes or labor disputes, embargoes, government orders, unavailability, non-renewal, withdrawal or revocation of any required legal or regulatory permits, approvals, or any event beyond the reasonable control of GoodHope.

Amendments to Terms & Conditions

GoodHope Insure reserves the right to bring any change to the Platform, its policies, terms and conditions or any publicly displayed condition, or any commitment at any time. Changed policies, terms and conditions in force shall be applicable for you when you use the Platform. If any of these conditions is deemed invalid, void, unenforceable, or conflicting to other relevant conditions that condition will not affect the validity and enforceability of any condition, and GoodHope shall bring necessary amendments to it at the earliest.

Ownership

GoodHope Insure is the owner or licensor of all rights, titles and interests in and to our Service, including all current and future intellectual property rights, any suggestion, idea or feedback by you or other party relevant to our Service. Copying, modification, revision, enhancement, adaptation, translation or derivative work of our Service shall be owned solely and exclusively by GoodHope Insure Ltd., as any and all patent rights, copyrights, trade secret rights, trademark rights, and all other proprietary rights. Certain names, logos and other materials displayed in our Platform may constitute trademarks, trade names, service marks or logos (whether registered or unregistered) of GoodHope Insure Ltd. or other third-party entities (“Marks”). No one in any way is authorized to use any such Marks by these Terms. We reserve the right to update, discontinue, temporarily or permanently, our Service partly or fully, with or without notice.

Assignment/Transfer

GoodHope Insure reserves the right to assign and/or transfer these Terms and Conditions, and all the rights and obligations to any third party for any reason whatsoever, including reorganization, merger, sale, joint venture, assignment, transfer, liquidation or any other disposition. In case of such assignment and/or transfer, all information provided to us, will be transferred to that third party and you agree to cooperate reasonably in this regard.

Miscellaneous

These Terms and Conditions (T&Cs) together with the Privacy Policy and Cancellation and Refund Policy constitute the entire and final agreement between you and GoodHope Insure Ltd. and govern your access to and use of our Services, superseding any prior agreement between you and GoodHope Insure Ltd. with respect to any subject hereof, whether written or verbal. The section titles in these T&Cs are for convenience only and have no legal or contractual effect. You may neither assign any of your rights nor sub-contract of any of your obligations under these T&Cs, and any such attempt will be null and void. The validity, interpretation, construction and performance of these T&Cs will be governed by the laws of Bangladesh.

Any dispute arising under or relating to these T&Cs will be resolved exclusively by final and binding arbitration in accordance with the Bangladesh Arbitration Act, 2001. The parties agree to the personal and subject matter jurisdiction and venue of the arbitration located in Dhaka, Bangladesh for any action related to these T&Cs. Our failure to enforce any provision of these T&Cs will not constitute a waiver of such right. If any provision is found to be invalid, the parties agree that they will submit to the court to give effect to the parties’ intentions as reflected in the provision, and that the other provisions of these T&Cs shall remain fully in force and effect. You are not authorized to act on behalf of GoodHope Insure Ltd. in any way whatsoever. You can only use reference of electronic documents and records for your future transactions and communications with our Services.

You also agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. In the event of discrepancies between different language versions of this T&Cs, the English version shall prevail. Any use of third-party software and service provided in connection with our Services, or any third-party product or service accessed or used in connection with our Service, will be governed by the applicable third-party’s license or terms of use, and not by these Terms.
